Terms of Service

1. Acceptance of Terms

By accessing or using CLRfee (the "Platform"), you agree to be bound by these Terms of Service. This Platform is a community initiative by SEAIRA Intelligence Group ("SEAIRA") in partnership with The SaaS Headquarters Inc. ("SaaS HQ"). If you do not agree to these terms, you may not use the Platform.

2. The Nature of Our Service

CLRfee provides an interface for event organizers ("Organizers") to sell tickets to attendees ("Buyers"). We provide the technology to facilitate these transactions, but we are not the host, promoter, or owner of any event listed on the Platform.

3. Organizers' Sole Responsibility

The Organizer is exclusively responsible for the events they list. This includes, but is not limited to:

  • Event Quality and Execution: The safety, conduct, and delivery of the event.
  • Cancellations and Rescheduling: The decision to cancel, postpone, or change an event.
  • Refunds: All refund policies are set by the Organizer. CLRfee does not hold funds and cannot issue refunds on behalf of an Organizer.
  • Disputes: Any disputes regarding event content or ticket fulfillment must be resolved directly between the Buyer and the Organizer.

CLRfee is not responsible for any losses, damages, or disappointments resulting from an Organizer's actions or omissions.

4. Service Availability and "The Human Element"

We provide this platform for free to those using Helcim because we care about your cause. We promise to do our best to provide reliable service and support. However:

  • Uptime: Like all technology, the Platform may occasionally experience crashes, downtime, or technical "glitches."
  • Best Efforts: If an issue arises during your event or ticket sales, we promise to work as quickly as humanly possible to fix what is within our control.
  • No Guarantees: We provide the Platform on an "as-is" and "as-available" basis without any warranties of any kind.

5. Limitation of Liability

To the maximum extent permitted by law, SEAIRA and SaaS HQ (including our officers, employees, and partners) shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or revenue, arising out of your use of the Platform.

In the event that we are found liable for any claim, our total liability to you is limited to the total amount of fees you paid directly to us for our services during the event in question. Because we typically provide this platform for $0 platform fees, our liability will generally be zero.

6. Merchant Fees and Third-Party Processors

While CLRfee does not charge a platform fee, you are responsible for the merchant processing fees charged by Helcim. These fees are outside of our control and are governed by your agreement with Helcim. Please review Helcim's Terms of Service for complete details.

7. Indemnification

You agree to defend, indemnify, and hold harmless SEAIRA and SaaS HQ from any claims, damages, or legal fees resulting from your event, your use of the Platform, or your violation of these Terms.

8. Changes to Terms

We reserve the right to modify these terms at any time. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
